Mr. Silverstein has practiced before the Delaware Court of Chancery and the Delaware Supreme Court for more than 30 years. He has extensive experience in counseling some of the largest Delaware corporations in the country on significant merger and acquisition transactions, as well as prosecuting and defending corporate and commercial matters in the Delaware courts. He has authored numerous articles and CLE materials in the area of corporate law, has twice been appointed by the Court of Chancery to act as a Special Master, and has served as a Court-appointed Custodian as well as counsel to Court-appointed Custodians in a number of matters.  He received his B.A. (with honors) from Beaver College and his J.D. (cum laude) from Villanova University School of Law.

 

Co-author of BBNA Corporate Practice Portfolio Series No. 105, Deal Protection Devices.  This portfolio provides a discussion of deal-protection devices that largely govern the period between the signing of a merger agreement and the stockholder vote on the transaction. The discussion explores how deal-protection provisions operate together and how they are scrutinized when the parties adopt particularly aggressive or unprecedented variations of the protections. Additionally, the authors provide advice and guidance in the use of deal-protection measures.
