Sharon Lincoln advises nonprofit entities in regard to all issues related to their tax-exempt status, including formation, funding, governance, regulatory compliance, restructuring, international grant making, lobbying, unrelated income and mergers and acquisitions. In addition, she assists clients in matters directly involving the Internal Revenue Service and the Massachusetts Department of Revenue, including audits, appeals and ruling requests. A variety of clients have turned to Sharon for guidance regarding federal and state tax matters in general, as well.

Ms. Lincoln also assists clients with planning and structuring new social ventures. To that end, she keeps track of developments that affect social entrepreneurs, including guidance regarding benefit corporations and other "hybrid" entities.  Prior to joining Foley Hoag, Ms. Lincoln practiced in the tax and benefits department of another national law firm.  She earned her B.A. from Dartmouth College and her J.D. from Harvard Law School.

Ms. Lincoln is a co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 93, Corporate Social Responsibility.  This portfolio volume discusses a wide range of legal and business concerns facing companies today. This portfolio focuses primarily, but not exclusively, on the social impacts of business activities.
