Mr. Johnston is a partner at  Young, Conaway, Stargatt & Taylor, LLP,  whose practice concentration is corporate and other business counseling and litigation. He is a past chair of Young Conaway's Corporate Counseling and Litigation Section. A special focus of his practice is advancement and indemnification under Delaware law, and he has written and spoken extensively on those subjects. He received his B.A. from Colgate University and his J.D. from Washington and Lee University. He is Vice Chairman of the American Bar Association's Business Law Section.  He received his B.A. from Colgate University  and his J.D. from Washington and Lee University School of Law. He is also Vice Chairman, Business Law Section of the American Bar Association.

 

Mr. Johnston is co-author for Bloomberg BNA Corporate Practice Portfolio Series No. 54-3rd, Indemnification and Insurance for Officers and Directors.  This portfolio volume discusses many of the issues involved in indemnifying and insuring corporate directors and officers against liability stemming from both judicial and administrative determinations. In addition to analyzing statutory indemnification provisions, the portfolio discusses developments in reducing director liability and examines D&O policies and the claims process.
