Mark Hurd is a Partner with Morris, Nichols, Arsht & Tunnell LLP and a member of the firm's Corporate and Business Litigation Group. Mr. Hurd's practice focuses on corporate mergers and acquisitions, defense of stockholder class and derivative actions, and statutory actions relating to the governance and valuation of Delaware corporations. He also advises boards of directors and special committees in conflict of interest transactions and derivative litigation, and has lectured for the Practising Law Institute and the American Bar Association on matters of corporate governance.

Mr. Hurd served as a law clerk to the Honorable Murray M. Schwartz of the U.S. District Court for the District of Delaware.

He earned his B.S.F.S, magna cum laude, and his J.D., cum laude, from Georgetown University.

Mr. Hurd is the co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 79, Special Committees of Independent Directors.  This portfolio volume discusses special negotiating committees, demand investigation committees, and special litigation committees. Apart from their legal benefits in subsequent litigation, such committees can reassure the investing public that a corporation is handling its affairs in a proper way.
