Ellen Canan Grady is a member in the Philadelphia office of Cozen O'Connor. She focuses her practice on assisting public and private companies, startups and emerging companies and large nonprofits. She advises public companies regarding SEC and stock exchange disclosure and compliance issues, public company equity issuances, private offerings, and corporate transactions. She received her B.A., (magna cum laude) from Allegheny College and her J.D., from the University of Pennsylvania Law School.
She is co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 110, Securities Practice Portfolio Series (No. 240). This portfolio volume provides a valuable means to lure and retain talent and to provide an incentive for corporate management to perform in the best interest of shareholders, but as executive pay has increased, so has state and federal oversight of the compensation of corporate pay practices. This portfolio covers the complex and wide-ranging body of law governing executive pay, including the federal securities statutes, SEC regulations, the Internal Revenue Code and state corporate law.
