Ms. Duckworth is a partner with Baker Botts LLP in Austin, Texas.  She represents public and private businesses in a wide variety of corporate and securities matters. She also represents both public and private companies in connection with M&A transactions, and represents issuers and investment banking firms in public offerings and private placements of equity and debt securities.  In addition, she advises corporations and MLPs with respect to complex corporate and transactional matters, including compliance with federal securities law issues, mergers and acquisitions, and day-to-day corporate counseling.  She received her B.S. (summa cum laude), from The University of Texas and her J.D. (Order of the Coif), from The University of Texas School of Law.  She is also a member of the Texas Bar.

 

Ms. Duckworth is co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 60-3rd, Initial Public Offerings.  The title is also available as part of the Bloomberg BNA Securities Practice Portfolio Series (No. 202).  This portfolio volume examines the transactional aspects and regulatory requirements of an initial public offering of securities. It discusses how to prepare an initial public offering, the internal "bootcamp" steps an issuer must take beforehand to ensure a successful offering, negotiating the terms of the offering, the potential liabilities involved with an IPO, and alternative financing options that are available for small businesses.
