Emily is a member of Young Conaway's Corporate Counseling and Litigation Section. She practices primarily before the Court of Chancery in Delaware, focusing on corporate litigation, corporate governance issues and complex commercial transactions. She has experience with a variety of the issues that arise in those contexts, including: fiduciary duty claims on both the plaintiffs' and the defendants' side, poison pill litigation, takeover litigation, books and records actions, indemnification disputes, preferred stock interpretation, and others. In addition to litigation, Emily has advised boards and independent fiduciaries faced with potential or ongoing litigation and has acted as an advisor to investors in companies involved in high profile cases in the Court of Chancery. She received her B.A. (magna cum laude), from Boston University and her J.D. (cum laude), from Boston University School of Law.  She is a member of the Delaware Bar and the Wisconsin Bar.

 

She is a co-author of Bloomberg BNA Corporate Practice Portfolio Series No. 111, Ratifying Defective Corporate Acts at Common Law and by Statute.
